1. Who this agreement is with
These Terms of Service ("Terms") are a legal agreement between ML Technology Solutions LLC, a limited liability company organized in the United States ("MLTSL", "we", "us", "our"), and the business or individual registering for or using the MLTSL POS service ("Customer", "you", "your"). By creating an account, starting a trial, or using MLTSL POS, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
2. What MLTSL POS is
MLTSL POS is a cloud-based, multi-tenant point-of-sale and retail management platform providing till/checkout software, inventory and catalog management, customer and loyalty records, employee and permission management, reporting, and optional integrations including WooCommerce synchronization. MLTSL POS does not process card payments itself and does not store payment card numbers; any card processing you use at your business is handled by your own card processor or terminal, entirely outside of MLTSL POS.
3. Accounts, trials, and subscriptions
3.1 Free trial
New accounts receive a 14-day free trial with full access to the features of their selected plan. No payment is required to start a trial.
3.2 Subscription plans and billing
After the trial period, continued use requires an active paid subscription. Plans and individual add-on features are priced as shown at the time of purchase and may be changed by you at any time by contacting us or through the admin tools we provide. We bill on a recurring basis (currently processed manually; invoices and payment instructions are sent to the email on your account) for the plan and any add-on features enabled on your account.
3.3 Late payment and suspension
If a payment is not received by its due date, your account may enter a grace period, during which service continues but you will be notified of the outstanding balance. If payment is still not received after the grace period, we may suspend access to MLTSL POS until the account is brought current. Suspension does not delete your data; data retention is described in our Privacy Policy.
3.4 Cancellation
You may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods unless required by law.
4. Your responsibilities
- You are responsible for the accuracy of the data you enter (prices, inventory, customer records) and for how your staff use the accounts and permissions you grant them.
- You are responsible for keeping your account credentials, approval codes, and admin access confidential.
- You are responsible for complying with applicable tax, consumer protection, and data protection laws in the jurisdictions where you operate your business, including any obligations toward your own customers whose data you collect through MLTSL POS.
- If you connect a third-party integration (such as WooCommerce), you are responsible for the accuracy of your API credentials and for the content and pricing on that connected store.
- You will not use MLTSL POS for any unlawful purpose, to process transactions you are not authorized to process, or in a way that attempts to disrupt or gain unauthorized access to the service.
5. Our responsibilities
We will use commercially reasonable efforts to keep MLTSL POS available and to safeguard the data stored on your behalf, consistent with our Privacy Policy. We may perform maintenance, updates, and improvements to the service from time to time, including changes to features, with reasonable notice where a change materially reduces functionality you rely on.
6. Data ownership
You retain ownership of your business data — your items, sales, customers, and records entered into MLTSL POS. We do not sell your data. We access it only as needed to provide, maintain, and support the service, or as required by law. If you cancel your account, you may request an export of your data within a reasonable period after cancellation, after which it may be deleted in accordance with our data retention practices.
7. Service "as is"; limitation of liability
MLTSL POS is provided "as is" and "as available." While we work to keep the service accurate and reliable, we do not guarantee it will be error-free or uninterrupted. To the fullest extent permitted by applicable law in both Trinidad and Tobago and the United States, MLTSL's total liability arising out of or relating to these Terms or your use of MLTSL POS is limited to the amount you paid us in the three (3) months preceding the event giving rise to the claim, and MLTSL is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost sales, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot lawfully be limited (such as liability for gross negligence or willful misconduct, where applicable).
8. Governing law and disputes
MLTSL currently offers this service to businesses in both Trinidad and Tobago and the United States. Accordingly:
- If your business is located in Trinidad and Tobago, these Terms are governed by the laws of Trinidad and Tobago, and disputes will be subject to the non-exclusive jurisdiction of the courts of Trinidad and Tobago.
- If your business is located in the United States (or elsewhere outside Trinidad and Tobago), these Terms are governed by the laws of the state in which ML Technology Solutions LLC is organized, without regard to conflict-of-laws principles, and disputes will be subject to the non-exclusive jurisdiction of the courts located there.
As MLTSL grows and begins serving customers in additional regions, this section will likely need to be refined with the help of local counsel in each jurisdiction served.
9. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify account owners by email or an in-app notice before the changes take effect. Continued use of MLTSL POS after changes take effect constitutes acceptance of the updated Terms.
